Platinum Equity announced that it has agreed to acquire American Traffic Solutions (ATS), a provider of road safety cameras and toll and violations management solutions serving more than 3,500 school bus stop arm, red-light and speed safety cameras. Deal terms were not disclosed.
Reuters is reporting that Johnson Controls International plc is looking to divest Scott Safety, its safety gear unit, in a deal that could be worth as much as $2 billion. Scott Safety manufactures respiratory and safety equipment for firefighters, industrial workers, law enforcement and the military. A sale of the non-core asset would shore up the company's balance sheet following its merger with Tyco International plc last year. Centerview Partners is handling the auction and sources say that advanced discussions are underway with potential acquirers including Honeywell International and 3M. A deal could be announced later this month.
TASER International announced that it has launched an artificial intelligence group called Axon AI through its acquisition of Dextro Inc. and the computer vision team from Fossil Group Inc. Dextro has developed a computer-vision and deep learning systems that makes videos discoverable and searchable in real time. The acquisition from Fossil Group includes the team of machine-vision researchers that were part of Fossil Group's acquisition of Misfit Inc. Both acquisitions bring TASER approximately 20 researchers and engineers which will provide new AI-powered capabilities for public safety. Deal terms for both deals were not disclosed.
CHA Consulting Inc. announced that it has acquired an interest in American Fire Protection Inc. (AFP), a provider of custom design, engineering, installation, and maintenance of fire protection systems. AFP's clients include those in the automotive, government/military, manufacturing, and distribution/warehouse markets. Deal terms were not disclosed, however, the press release states that "this transaction allows for CHA to actively support AFP's growth strategies while allowing AFP to manage their daily operations." Harpeth Capital LLC served as financial advisor to AFP.
Motorola Solutions announced that it has completed its acquisition of Spillman Technologies, a provider of law enforcement and public safety software solutions for computer-aided dispatch and records management systems. Based in Salt Lake City, Spillman provides its solutions to over 1,700 government agencies throughout the US. Deal terms were not disclosed.
National Response Corporation (NRC), a portfolio company of J.F. Lehman & Company announced that it has acquired Boom Technology Inc., a provider of specialty environmental, emergency response and industrial services. Deal terms were not disclosed.
FLIR Systems Inc. announced that it has completed its acquisition of Point Grey Research Inc. for $259 million in cash, or an enterprise value of $256 million. Point Grey Research provides advanced visible imaging cameras and solutions used in industrial automation systems, medical diagnostic equipment, people counting systems, intelligent traffic systems, military and defense products, and advanced mapping systems. The business will be renamed Integrated Imaging Solutions and projected to be $0.01 dilutive to 2016 earnings but accretive in 2017.
Motorola Solutions announced that it has agreed to acquire Spillman Technologies, a provider of law enforcement and public safety software solutions for computer-aided dispatch and records management systems. Based in Salt Lake City, Utah and serving over 1,700 government agencies, Spillman offers software and cloud-based solutions for jail management systems, fire, mobile data, data sharing, field reporting, mapping and geographic information systems. The transaction is expected to close in the fourth quarter of 2016. Deal terms were not disclosed.
Sciens Building Solutions, a Huron Capital Partners LLC portfolio company, announced that it has acquired WSA Systems-Boca Inc. WSA designs, installs, and provides maintenance services for fire detection and suppression systems to both commercial and government clients. The company also provides security solutions including access control, CCTV, and mass notification systems.
Sciens was formed in 2015 by Huron in partnership with Terry Heath, a former Siemens executive, to acquire companies in the fire detection and security services sector. Deal terms were not disclosed. Dynamis Inc. announced that it has acquired the Emergency & Security Management Solutions (ESMS) subsidiary of Defense Group Inc. (DGI) including the COBRA integrated emergency and security management software suite.
According to Dynamis CEO, John Milam: “This cquisition enables us to better serve our emergency and security management customers, including the Homeland Security and Defense departments, and we are excited about the new growth opportunities this will create for our company.” Headwaters MB advised DGI on the transaction. Deal terms were not disclosed. |
