BAI Communications announced that it has acquired inMOTION Wireless Inc., a Boston-based company that designs, builds, owns, and operates wireless infrastructure, Wi-Fi, and fiber technology solutions to customers including the Massachusetts Bay Transport Authority (MBTA). In 2014, inMotion received an exclusive 22-year license by the MBTA to provide Wi-Fi access to MBTA commuters. Deal terms were not disclosed.
MacDonald, Dettwiler and Associates Ltd. (MDA) announced that it has agreed to acquire DigitalGlobe Inc. for $35.00 in cash and stock. The deal values DigitalGlobe at an equity value of $2.4 billion or an enterprise value of $3.6 billion. With 2016 revenues of $725.4 million and adjusted EBITDA of $382.7M, the deal multiples are 5x revenue and 9.4x EBITDA.
DigitalGlobe is a provider of high-resolution Earth-imagery products and solutions which it provides using its own satellite constellation and third-party providers. The company recently acquired The Radiant Group which brought the company advanced geospatial expertise. Customers include defense, government and intelligence agencies as well as organizations in the oil and gas exploration, infrastructure management, and navigation technology markets. BofA Merrill Lynch and RBC Capital Markets are serving as financial advisors to MDA. PJT Partners and Barclays are serving as financial advisors to DigitalGlobe. xG Technology Inc. announced that it has signed the final definitive purchase agreement to acquire Vislink Communication Systems from Vislink Plc for $16 million. With annualized revenues of between $45 to $50 million, Vislink provides broadcast communication links for the collection of live news, sports and entertainment events as well as secure video communications and mission critical solutions for law enforcement, defense, and homeland security applications.
Cubic Corporation announced that it has acquired UK-based Vocality International for $10 million. Vocality provides embedded technology that unifies communication platforms enabling its business, government and military customers to communicate securely using legacy systems with the latest wireless and cellular networks. The company is an existing partner of Cubic's subsidiary DTECH and the acquisition is expected to enhance Cubic's delivery capabilities on key programs of record.
Motorola Solutions announced that it has completed its acquisition of Spillman Technologies, a provider of law enforcement and public safety software solutions for computer-aided dispatch and records management systems. Based in Salt Lake City, Spillman provides its solutions to over 1,700 government agencies throughout the US. Deal terms were not disclosed.
Actua Corporation announced that it has agreed to sell its GovDelivery business to Vista Equity Partners in a deal worth $153 million. Actua originally acquired GovDelivery in 2009 for $20 million. GovDelivery’s digital communications platform is used by over 1,800 customers to promote usage of services, enhance public awareness and increase citizen involvement. While GovDelivery’s exact annual revenue is not disclosed, it’s estimated to be over $50 million. The transaction is expected to close in the fourth quarter of 2016. Stephens Inc. served as the deal advisor to GovDelivery.
Tribalco announced that it has acquired the U.S. Army Communications and Transmission Systems (CTS) business division assets from Intelligent Decisions, which includes primarily the CTS IDIQ prime contract vehicle. Task orders to be competed under this IDIQ include opportunities to provide the Army with communications technologies and services. There are 12 total primes on the $4.1 billion IDIQ which was awarded in 2013 and has a period of performance through September 2018. Deal terms were not disclosed.
Emergency Communications Network (ECN), a portfolio company of Veritas Capital, announced that it has acquired MIR3, a SaaS provider of intelligent communication solutions to both commercial and government clients. MIR3’s intelligent notification solution is used for business continuity and emergency notification. In addition, the company offers TelAlert which is a two-way notification system used to simplify the administration of network management, help desk, and financial processing systems. Deal terms were not disclosed.
Xator Corporation announced that it has acquired Paragon Communications Solutions Inc. Based in Herndon, Virginia, Paragon is a provider of tactical communications, networking, and countermeasures solutions. Deal terms were not disclosed.
Teledyne Technologies Inc. announced that it has acquired Frontline Test Equipment Inc., a Charlottesville, Virginia-based provider of electronic test and measurement instrumentation and wireless protocol analysis test tools. Deal terms were not disclosed.
