Advanced Integration Technology (AIT) announced that it has acquired Nova-Tech Engineering, a designer and integrator of critical assembly automation, materials handling and friction stir welding equipment and tooling for the aerospace and space launch industries. Deal terms were not disclosed.
United Flexible Inc. announced that it has acquired Scotia Technology, a designer and manufacturer of small-diameter precision fixed tubular components for the aerospace and defense industries. United Flexible is a portfolio company of Arlington Capital Partners. The combined company will have approximately 720 employees. Deal terms were not provided.
ManTech International Corporation announced that it has acquired Edaptive Systems LLC, a provider of IT solutions primarily to federal health agencies including the Centers for Medicare & Medicaid Services. Based in Owings Mills, Maryland and with over 250 employees, Edaptive has core competencies including agile software development, testing and automation, business intelligence, data abstraction and IT services. Deal terms were not disclosed.
xG Technology Inc. announced that it has signed the final definitive purchase agreement to acquire Vislink Communication Systems from Vislink Plc for $16 million. With annualized revenues of between $45 to $50 million, Vislink provides broadcast communication links for the collection of live news, sports and entertainment events as well as secure video communications and mission critical solutions for law enforcement, defense, and homeland security applications.
HDT Global announced that it has acquired DRS Environmental Systems Inc. (DESI), a manufacturer of rugged and transportable mobile enclosures, environmental control units, power generators and other ground support systems. As part of the acquisition, HDT adds approximately 170 employees and two facilities located in Cincinnati, Ohio and Florence, Kentucky. Deal terms were not disclosed.
Teledyne Technologies Inc. announced that it has agreed to acquire e2v technologies plc for 275 pence per share, or an enterprise value of $789 million. e2v provides high performance image sensors and arrays, components, subsystems, and semiconductors for space, defense, healthcare, industrial, and communications applications. The company generated revenues of $289 million and adjusted EBITDA of approximately $64 million for the twelve month period ending September 30, 2016.
e2v was advised by Investec Bank plc and N M Rothschild & Sons while Teledyne was advised by Citigroup Global Markets Limited. The deal is expected to close in the first half of calendar 2017. Curtiss-Wright Corporation announced that it has agreed to acquire Teletronics Technology Corporation (TTC) for $233 million in cash. Based in Newton, Pennsylvania, TTC is a designer and manufacturer of telemetry systems including data analysis units, sensors, receivers, and ground station analysis tools used to measure, record, transmit, and analyze aircraft and munitions parameters during test flights. With approximately 225 employees, TTC is involved in more than 140 programs including those supporting the F-35 and F-18. The company is projected to generate revenues of $65 million in 2016. The deal is expected to close in early 2017.
Testing service provider PSI Services LLC announced that it has acquired Computer Assisted Testing Service (CATS), a provider of computer-based examinations for organizations involved in licensing and certification testing. According to the press release, both CATS and PSI have a strong presence within the Federal Aviation market. Deal terms were not disclosed.
Boeing announced that it has entered into an agreement to acquire Liquid Robotics, the developer of the Wave Glider, a wave and solar-powered autonomous ocean robot that supports ocean data collection and communication. Wave Glider has more than 1 million nautical miles traveled under its belt and serves customers in the defense, commercial and science markets. The company will continue as a subsidiary of Boeing. Deal terms were not disclosed.
