ECS Federal LLC announced that it has acquired InfoReliance, a provider of cybersecurity, cloud computing, software engineering solutions and managed services to government clients. InfoReliance is projected to add $150 million of revenue and expand ECS's agile software delivery capability supporting the Navy, USMC, USPS, FBI, the Intelligence Community and DOL. Kipps DeSanto was the financial advisor to InfoReliance. Deal terms were not disclosed.
Platinum Equity announced that it has agreed to acquire American Traffic Solutions (ATS), a provider of road safety cameras and toll and violations management solutions serving more than 3,500 school bus stop arm, red-light and speed safety cameras. Deal terms were not disclosed.
Orbis Technologies Inc. and RSI Content Solutions announced they have merged, forming a company that provides enterprise content and information management solutions to the U.S. military, Intelligence Community, federal agencies and publishers and media companies. Orbis also brings Big Data capabilities. The combined company will continue with the Orbis Technologies name going forward. Deal terms were not disclosed.
Buchanan & Edwards Inc. announced that it has acquired The Reports and Requirements Company (R2C) LLC, a provider of national security consulting services specializing in cyber intelligence, intelligence collection, training support, and data governance and analysis. R2C will continue as a wholly-owned subsidiary of Buchanan & Edwards. Deal terms were not disclosed.
Belcan LLC, a portfolio company of AE Industrial Partners LLC, announced that it has agreed to acquire Schafer Corporation from Metalmark Capital Partners. The deal is expected to close in the second quarter of 2017. With more than 400 employees worldwide, Schafer provides scientific, engineering, and technical services to military and civil government agencies. The company has specific expertise in CBRNE, space systems, air and defense, micro materials, and cybersecurity.
PricewaterhouseCoopers LLC served as financial advisor to Belcan and AE Industrial Partners while Raymond James & Associates advised Schafer and Metalmark Capital. Deal terms were not disclosed. BG Staffing Inc. announced that it has acquired Zycron Inc. for $19 million in cash, $1 million in stock, and certain earn out provisions. Zycron provides IT temporary staffing services to Fortune 500 companies and government agencies, and had revenues of approximately $38.3M for the year ended December 31, 2016. This deal marks the eighth acquisition for BG Staffing since 2009.
L3 Technologies announced that it has acquired OceanServer Technology Inc. on March 17, 2017. Based in Fall River, Massachusetts, OceanServer develops and manufactures autonomous Unmanned Undersea Vehicles (UUVs) to military, commercial and international customers. The company will be integrated into L3's Sensor Systems segment. Deal terms were not disclosed.
Mercury Systems Inc. announced that it has acquired Oxnard, California-based Delta Microwave LLC, a designer and manufacturer of RF, microwave and millimeter wave sub-assemblies for the military and space markets. The purchase price is $40.5 million in cash and the deal is projected to generate significant cost synergies and tax benefits from the transaction. Delta had 2016 revenues of $12.8 million and the company is projecting rapid growth based on its backlog of funded orders.
BAI Communications announced that it has acquired inMOTION Wireless Inc., a Boston-based company that designs, builds, owns, and operates wireless infrastructure, Wi-Fi, and fiber technology solutions to customers including the Massachusetts Bay Transport Authority (MBTA). In 2014, inMotion received an exclusive 22-year license by the MBTA to provide Wi-Fi access to MBTA commuters. Deal terms were not disclosed.
AASKI Technology announced that it has acquired San Francisco-based ConnnectSolutions, a provider of private cloud managed services for secure virtual classroom training and web conferencing to commercial and federal government customers. ConnectSolutions will be called CoSo Cloud LLC, an AASKI company. DecisionPoint was the financial advisor to ConnectSolutions. Deal terms were not disclosed.
